Terms of Service

Service Provider Information

In accordance with the Finnish Act on the Provision of Information Society Services (917/2014), the following information is provided about the service provider:

1. Acceptance of Terms

By accessing or using any part of the VertaaUX platform ("Service"), including but not limited to the web application, command-line interface, SDKs, APIs, browser extension, VS Code extension, MCP server, GitHub Action, or mobile application, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Digitaltableteur Tmi, trading as VertaaUX (business ID FI22264455-2), located in Helsinki, Finland ("VertaaUX," "we," "us," or "our").

If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization. If you do not agree with any part of these Terms, you must not access or use the Service.

These Terms supplement and incorporate by reference our Privacy Policy, Acceptable Use Policy, Data Processing Agreement, and Refund Policy. In the event of a conflict between these Terms and any supplemental policy, these Terms shall prevail unless the supplemental policy expressly states otherwise.

2. Description of Service

VertaaUX provides an automated UX auditing platform that analyzes websites and digital products for accessibility, usability, clarity, information architecture, conversion optimization, semantic HTML, keyboard navigation, and performance. The Service generates reports with scores, actionable recommendations, and AI-enriched insights.

2.1 Distribution Surfaces

The Service is delivered through the following distribution surfaces, each subject to these Terms:

  1. Web Application — The primary interface at vertaaux.ai. Authenticated via OAuth (Google, GitHub, email). Provides UX auditing, report generation, dashboard, and account management.
  2. CLI (@vertaaux/cli) — A command-line tool for running audits from your terminal. Credentials are stored locally on your machine. The CLI source code is released under the MIT License (see Section 3).
  3. GitHub Action (@vertaaux/audit-action) — A CI/CD integration that enables automated UX quality gating in GitHub workflows. Runs audits as part of your build pipeline and reports results via check annotations.
  4. JavaScript SDK (@vertaaux/sdk-js) — A programmatic API client for Node.js and browser environments. The SDK source code is released under the MIT License (see Section 3).
  5. Python SDK (vertaaux-api-client) — A programmatic API client for Python environments. The SDK source code is released under the MIT License (see Section 3).
  6. MCP Server (@vertaaux/mcp-server) — A Model Context Protocol server that enables large language models and AI assistants to invoke VertaaUX auditing capabilities programmatically.
  7. Browser Extension — A Chrome extension that provides real-time UX auditing as you browse. Requires the <all_urls> permission to analyze pages on any domain you visit. The extension only transmits page data when you explicitly initiate an audit.
  8. VS Code Extension (vertaaux-assistant) — An IDE extension that provides inline audit insights, accessibility warnings, and UX recommendations directly within your editor.
  9. REST API v1 — A comprehensive API with 163 endpoints, authenticated via API keys. Available to Pro, Agency, and Enterprise customers. Full documentation is available at docs.vertaaux.ai/api.
  10. Mobile API — A mobile-optimized API authenticated via JWT tokens with support for Apple Sign-In and device registration. Powers the VertaaUX mobile experience.

2.2 Audit Accuracy

Important: Audit results are provided for informational purposes only. While we strive for accuracy, automated audits have inherent limitations and may not identify all issues. Results may occasionally include false positives or miss certain problems. Audit reports should be reviewed by qualified UX, accessibility, or development professionals before implementation. VertaaUX does not guarantee any specific outcome from following audit recommendations.

3. Open Source Components

Certain components of the VertaaUX ecosystem are released as open source software under the MIT License. These include:

  • @vertaaux/cli — Command-line interface
  • @vertaaux/sdk-js — JavaScript/TypeScript SDK
  • vertaaux-api-client — Python SDK

The MIT License grants you permission to use, copy, modify, merge, publish, distribute, sublicense, and sell copies of the software, subject to the conditions stated in the license. The full license text is included in each repository.

The open source license applies only to the client-side source code of these tools. The VertaaUX backend services, APIs, algorithms, scoring models, AI enrichment pipelines, web application, browser extension, VS Code extension, MCP server, and all associated infrastructure remain proprietary. Your use of open source tools to interact with the VertaaUX platform is still governed by these Terms with respect to the Service itself.

Community contributions to open source repositories are welcomed and subject to the contribution guidelines published in each repository. By submitting a contribution, you agree to license your contribution under the same MIT License.

4. User Accounts

4.1 Registration

To use certain features of the Service, you must register for an account. You may register using OAuth authentication (Google, GitHub) or email-based authentication. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You may not create an account using false or misleading information or on behalf of another person without their permission.

4.2 Account Security

You are responsible for safeguarding your account credentials, including passwords, API keys, and authentication tokens, and for all activities that occur under your account. You must notify us immediately at security@vertaaux.ai if you become aware of any unauthorized use of your account or any other breach of security. We will not be liable for any loss arising from unauthorized use of your account credentials.

4.3 Account Termination

Termination by you: You may close your account at any time by contacting us at support@vertaaux.ai or through your account settings. Upon closure, your active subscription (if any) will be cancelled at the end of the current billing period.

Termination by us: We may suspend or terminate your account in the following circumstances:

  • With notice: We will provide at least fourteen (14) days' written notice via email if we need to terminate your account for reasons other than those listed below, including a clear explanation of the reason.
  • Immediate, without prior notice: We may suspend or terminate your account immediately if: (a) you materially breach these Terms; (b) your use poses a security threat to the Service or other users; (c) continued access would violate applicable law; or (d) you engage in fraudulent, abusive, or illegal activities.

Upon termination, we will make your data available for export for a reasonable period (at least thirty (30) days), except where prohibited by law or where the account was terminated for illegal activity.

5. Subscription Plans and Billing

5.1 Subscription Tiers

VertaaUX offers the following subscription tiers:

  • Free — €0/month. Includes up to three (3) audits per day with core auditing features.
  • Pro — €8/month + applicable VAT. Includes unlimited audits, API access (1,000 requests/month), and advanced features.
  • Agency — €99/month + applicable VAT. Includes up to 100 workspaces, white-label reporting, team management, and priority support.
  • Enterprise — Custom pricing. Includes dedicated infrastructure, custom integrations, SLA guarantees, and a dedicated account manager. Contact sales@vertaaux.ai for details.

Feature details, limits, and current pricing are displayed on our pricing page and may be updated from time to time. Any pricing changes to paid tiers will take effect at your next billing cycle and will be communicated at least thirty (30) days in advance.

5.2 Currency and VAT

All prices are denominated in euros (€) and are exclusive of value-added tax (VAT) unless otherwise stated. VAT will be added at the applicable rate based on your country of residence or establishment, in accordance with EU VAT regulations. Business customers in the EU may provide a valid VAT identification number for reverse-charge treatment where applicable.

5.3 Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed via Stripe and is due immediately upon subscription or renewal. We accept major credit cards and other payment methods supported by Stripe. If payment fails, we will notify you and provide a reasonable grace period before suspending access to paid features.

5.4 Refunds

Refund requests are handled in accordance with our Refund Policy. Statutory consumer rights, including the right of withdrawal under Finnish and EU consumer protection law, are not affected by this policy (see Section 14).

5.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the end of your billing period. No partial refunds are issued for unused portions of a billing period, except as required by applicable law.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you agree not to:

  • Use the Service to audit websites you do not own or have authorization to audit
  • Attempt to reverse engineer, decompile, or disassemble any proprietary part of the Service (open source components are governed by their respective licenses)
  • Use automated tools to scrape, crawl, or extract data from the Service beyond the intended API usage
  • Overload, disrupt, or interfere with the proper functioning of the Service or its infrastructure
  • Share account credentials or create multiple accounts to circumvent usage limits or pricing tiers
  • Use the Service for any illegal, harmful, or unauthorized purpose
  • Resell, redistribute, or white-label the Service or its outputs without an appropriate subscription tier (Agency or Enterprise)

Violations of the Acceptable Use Policy may result in suspension or termination of your account in accordance with Section 4.3.

7. Intellectual Property

7.1 Service Ownership

The Service and its original content, features, algorithms, scoring models, user interface, and functionality are and shall remain the exclusive property of VertaaUX (Digitaltableteur Tmi) and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws of Finland and international treaties. "VertaaUX" and the VertaaUX logo are trademarks of Digitaltableteur Tmi. Nothing in these Terms grants you any right to use our trademarks without prior written consent.

7.2 Your Content

You retain all rights to the websites, applications, and digital properties you submit for auditing ("Your Content"). By using the Service, you grant us a limited, non-exclusive, non-transferable license to access, retrieve, analyze, and temporarily store information about Your Content solely for the purpose of providing the Service. This license terminates when you delete your account or the relevant audit data.

7.3 Audit Reports

Audit reports generated by the Service are licensed to you for your internal business use. You may share reports with clients, team members, and stakeholders. Agency and Enterprise customers may white-label reports in accordance with their subscription terms. You may not resell or redistribute reports as a standalone product or service separate from your own professional services.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable license to use, modify, and incorporate that feedback into the Service without any obligation to you.

8. Data Privacy and Security

Your privacy is important to us. Our collection, processing, and use of personal data is governed by our Privacy Policy, which complies with the EU General Data Protection Regulation (GDPR) and Finnish data protection law. For enterprise customers and data controllers, data processing is governed by our Data Processing Agreement (DPA).

We implement industry-standard technical and organizational security measures to protect your data, including encryption in transit (TLS 1.2+), encryption at rest, access controls, and regular security assessments. However, no method of electronic transmission or storage is completely secure. We cannot guarantee absolute security, and you acknowledge that you provide data at your own risk.

9. API and Developer Tools

This section applies to your use of the VertaaUX REST API, Mobile API, JavaScript SDK, Python SDK, CLI, GitHub Action, MCP Server, and any other programmatic interfaces to the Service.

9.1 API Access and Authentication

API access is available to Pro, Agency, and Enterprise customers. The REST API authenticates via API keys; the Mobile API authenticates via JWT tokens. You are responsible for the security of your API keys and tokens. Do not embed API keys in client-side code, public repositories, or any publicly accessible location.

9.2 Rate Limits

Each subscription tier has defined rate limits. Current limits are documented in our API documentation. You must respect these limits and implement appropriate request throttling, caching, and error-handling (including exponential backoff for rate-limited responses). We reserve the right to temporarily restrict access to accounts that repeatedly exceed rate limits.

9.3 SDK and CLI Terms

The CLI and SDKs are distributed as open source under the MIT License (see Section 3). When these tools interact with the VertaaUX backend, your use of the backend services is governed by these Terms. The CLI stores authentication credentials locally on your machine; you are responsible for securing the device on which credentials are stored.

9.4 GitHub Action

The @vertaaux/audit-action GitHub Action runs within your CI/CD pipeline. By using it, you authorize the Action to send audit requests to the VertaaUX API on your behalf using the API key you provide as a repository secret. VertaaUX is not responsible for the security of your GitHub Actions environment or secrets management.

9.5 MCP Server

The @vertaaux/mcp-server enables AI assistants and large language models to invoke VertaaUX capabilities via the Model Context Protocol. You are responsible for the configuration and security of your MCP environment. Audit requests initiated through the MCP Server count toward your API rate limits.

9.6 Browser Extension

The VertaaUX browser extension requires the <all_urls> permission to function on any webpage you visit. The extension only transmits page data to VertaaUX servers when you explicitly initiate an audit. No browsing data is collected passively. The extension communicates exclusively with VertaaUX infrastructure and does not share data with third parties.

9.7 VS Code Extension

The vertaaux-assistant VS Code extension connects to the VertaaUX API to provide inline audit insights. The extension accesses only the files and projects you explicitly open in your editor. Audit data is processed in accordance with our Privacy Policy.

9.8 Attribution

When displaying audit data from the VertaaUX API in user-facing contexts, you must include a "Powered by VertaaUX" attribution unless your subscription tier (Agency or Enterprise) permits white-label usage.

10. AI and Automated Processing

10.1 Use of AI Technologies

VertaaUX uses artificial intelligence and machine learning technologies to enhance audit analysis, generate recommendations, and provide enriched insights. Specifically, the Service incorporates:

  • Mistral AI — Used for natural language processing, heuristic evaluation enrichment, and generating human-readable audit explanations.
  • OpenAI — Used for advanced content analysis, recommendation generation, and conversational audit interactions.
  • Proprietary models — VertaaUX-developed scoring algorithms and saliency models for UX evaluation, heatmap prediction, and conversion analysis.

10.2 Transparency and Data Handling

In accordance with the EU AI Act and transparency best practices:

  • AI-generated content in audit reports is clearly identified as such.
  • Page content submitted for auditing may be processed by third-party AI providers (Mistral AI, OpenAI) solely for the purpose of generating audit analysis. We maintain data processing agreements with all AI providers.
  • We do not use your audit data or page content to train AI models. Our agreements with AI providers prohibit the use of your data for model training.
  • AI-generated recommendations are informational and should be validated by qualified professionals before implementation.

10.3 Automated Decision-Making

The Service uses automated processing to generate audit scores, identify issues, and produce recommendations. These outputs are advisory in nature and do not constitute binding professional advice. No fully automated decisions with legal or similarly significant effects are made about individuals through the Service. If your CI/CD pipeline uses VertaaUX to gate deployments, you are responsible for configuring appropriate thresholds and overrides.

11. Disclaimers and Limitations of Liability

11.1 Service Provided "As Is"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. This disclaimer does not affect mandatory consumer rights under Finnish or EU law (see Section 14).

11.2 Audit Accuracy Disclaimer

We do not guarantee that audit results are complete, accurate, current, or error-free. Automated audits have inherent limitations and may miss issues or report false positives. Results are not a substitute for professional UX, accessibility, or security assessments. You are solely responsible for any decisions made based on audit results.

11.3 Limitation of Liability

To the fullest extent permitted by applicable law, VertaaUX (Digitaltableteur Tmi) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use the Service
  • Any unauthorized access to or use of our servers or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar harmful code that may be transmitted to or through the Service by any third party
  • Any errors, omissions, or inaccuracies in audit results or recommendations
  • Decisions made or actions taken based on information provided by the Service

In no event shall the aggregate liability of VertaaUX for all claims arising out of or related to these Terms or the Service exceed the greater of: (a) the total amount you paid to VertaaUX in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred euros (€100).

This limitation of liability does not apply to liability that cannot be excluded or limited under applicable law, including liability for intentional misconduct, gross negligence, or death or personal injury caused by negligence.

12. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless VertaaUX (Digitaltableteur Tmi) and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your material breach of these Terms
  • Your use of the Service in violation of applicable law or third-party rights
  • Content or data you submit to the Service that infringes any third-party intellectual property rights

This indemnification obligation is proportionate and shall not apply to the extent that the claim arises from VertaaUX's own negligence, willful misconduct, or breach of these Terms. We will provide you with prompt written notice of any such claim and cooperate reasonably in the defense at your expense.

13. Consumer Rights

If you are a consumer (a natural person acting outside the scope of your trade, business, craft, or profession), the following mandatory protections apply under the Finnish Consumer Protection Act (kuluttajansuojalaki 38/1978) and applicable EU consumer protection directives. These rights cannot be waived or limited by contract:

13.1 Right of Withdrawal

You have the right to withdraw from a distance purchase within fourteen (14) days of the date of the transaction without giving any reason. To exercise this right, you must inform us of your decision by a clear statement (for example, by email to support@vertaaux.ai). If you have expressly consented to the provision of the Service before the withdrawal period has expired and acknowledged that you thereby lose your right of withdrawal, the right of withdrawal may not apply to the extent the Service has already been fully provided.

13.2 Defective Service

If the Service does not conform to the description provided in these Terms, you are entitled to a remedy under the Finnish Consumer Protection Act. Remedies may include correction of the defect, a price reduction, or termination of the contract, depending on the severity of the non-conformity.

13.3 Unfair Terms

Any provision of these Terms that is deemed unfair within the meaning of the Finnish Consumer Protection Act or EU Directive 93/13/EEC on unfair terms in consumer contracts shall not be binding on you as a consumer.

13.4 Dispute Resolution

Before initiating formal proceedings, we encourage you to contact us at support@vertaaux.ai to resolve any dispute amicably. If we are unable to resolve the dispute, you may refer the matter to the Finnish Consumer Disputes Board (kuluttajariitalautakunta, www.kuluttajariita.fi). You may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Changes to Terms

We may modify these Terms from time to time to reflect changes in the Service, applicable law, or our business practices. When we make material changes, we will:

  • Provide at least thirty (30) days' advance notice before the changes take effect, via email to the address associated with your account and by prominently displaying a notice on the Service.
  • Publish the updated Terms on this page with a revised "Last updated" date.
  • Clearly identify what has changed (for example, by providing a summary of changes or a redline comparison).

If you do not agree with the modified Terms, you have the right to terminate your account and stop using the Service before the changes take effect. If you have a paid subscription, you will receive a pro-rata refund for the unused portion of your current billing period. Your continued use of the Service after the effective date of the changes constitutes acceptance of the updated Terms.

Non-material changes (such as correcting typographical errors or adding new sections that do not diminish your rights) may be made without advance notice, but the "Last updated" date will always reflect the most recent revision.

15. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to: natural disasters, pandemics, war, terrorism, riots, government actions, power failures, Internet or telecommunications outages, cyberattacks, or failures of third-party service providers.

The affected party shall promptly notify the other party of the force majeure event and make reasonable efforts to mitigate its effects. If a force majeure event continues for more than ninety (90) days, either party may terminate the affected obligations under these Terms without liability.

16. Assignment

You may not assign or transfer your rights or obligations under these Terms, in whole or in part, without our prior written consent. Any attempted assignment without consent shall be void.

We may assign or transfer our rights and obligations under these Terms without your consent in connection with: (a) a merger, acquisition, or sale of all or substantially all of our assets; (b) a corporate reorganization; or (c) a transfer to an affiliated entity.

Entity transition notice: Digitaltableteur Tmi intends to incorporate as VertaaUX Oy (a Finnish limited liability company) in the future. Upon such incorporation, all rights and obligations under these Terms will be assigned to VertaaUX Oy. We will notify you of this transition at least thirty (30) days in advance. The transfer will not diminish your rights under these Terms. If you do not agree with the assignment, you may terminate your account in accordance with Section 4.3.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Helsinki, Finland.

If you are a consumer residing in the European Union, you also benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

18. Severability and Entire Agreement

18.1 Severability

If any provision of these Terms is held to be invalid, unenforceable, or illegal by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. The remaining provisions shall continue in full force and effect.

18.2 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Data Processing Agreement, Refund Policy, and any order forms or enterprise agreements executed between you and VertaaUX, constitute the entire agreement between you and VertaaUX regarding the Service. These Terms supersede all prior agreements, representations, warranties, and understandings, whether written or oral, relating to the same subject matter.

18.3 Waiver

The failure of VertaaUX to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any provision shall only be effective if made in writing and signed by VertaaUX.
