Terms of Service

1. Acceptance of Terms

By accessing or using VertaaUX ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

VertaaUX provides automated UX auditing services that analyze websites for accessibility, usability, clarity, information architecture, conversion optimization, semantic HTML, and keyboard navigation. The Service generates reports with scores and recommendations.

Important: Audit results are provided for informational purposes only. While we strive for accuracy, automated audits may not catch all issues and may occasionally produce false positives. Results should be reviewed by qualified professionals before implementation.

3. User Accounts

3.1 Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms or engaging in fraudulent or illegal activities.

4. Subscription Plans and Billing

4.1 Subscription Tiers

VertaaUX offers multiple subscription tiers: Free, Pro, Agency, and Enterprise. Features, limits, and pricing vary by tier and are detailed on our Pricing page.

4.2 Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is due immediately upon subscription or renewal. We use third-party payment processors (Stripe) to process payments.

4.3 Refunds

Refunds are provided on a case-by-case basis. Please contact our support team within 14 days of your initial payment for refund requests. No refunds are provided for partial months or annual subscriptions after 14 days.

4.4 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the end of your billing period.

5. Acceptable Use

You agree not to:

  • Use the Service to audit websites you do not own or have permission to audit
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools to scrape or extract data from the Service
  • Overload or interfere with the proper functioning of the Service
  • Share your account credentials with others or create multiple accounts to circumvent usage limits
  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction (including but not limited to copyright laws)

6. Intellectual Property

6.1 Service Ownership

The Service and its original content, features, and functionality are and will remain the exclusive property of VertaaUX and its licensors. The Service is protected by copyright, trademark, and other laws.

6.2 Your Content

You retain all rights to the websites you submit for auditing. By using the Service, you grant us a limited license to access, analyze, and store information about the audited websites solely for the purpose of providing the Service.

6.3 Audit Reports

Audit reports generated by the Service are licensed to you for your internal use. You may share reports with clients or team members but may not resell or redistribute reports as a standalone product.

7. Data Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. For enterprise customers, data processing is governed by our Data Processing Agreement (DPA).

We implement industry-standard security measures to protect your data, but no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee absolute security.

8. API Terms

If you use our API (available to Pro, Agency, and Enterprise customers), you agree to:

  • Comply with rate limits specified for your subscription tier
  • Use API keys securely and not share them publicly
  • Properly attribute VertaaUX when displaying audit data from our API
  • Cache API responses appropriately to minimize unnecessary requests

9. Disclaimers and Limitations of Liability

9.1 Service Provided "As Is"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Audit Accuracy Disclaimer

We do not guarantee that audit results are complete, accurate, or error-free. Automated audits have limitations and may miss issues or report false positives. You should have qualified professionals review audit results before taking action.

9.3 Limitation of Liability

To the fullest extent permitted by law, VertaaUX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

In no event shall our aggregate liability exceed the amount you paid to VertaaUX in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless VertaaUX and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Helsinki, Finland to resolve any legal matter arising from these Terms.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
